Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our services for your personal or internal business purposes. This license does not include the right to sublicense, sell, or commercially exploit our services.
You agree not to: (a) use our services for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of our services; (c) interfere with or disrupt the integrity or performance of our services; (d) use any robot, spider, or other automated means to access our services; (e) reverse engineer, decompile, or disassemble any portion of our services; or (f) transmit any viruses, malware, or other harmful code.

IN NO EVENT SHALL SOQONO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.
You agree to indemnify, defend, and hold harmless Soqono and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your use of third-party websites is subject to their respective terms and conditions.

Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by JAMS under its applicable rules. The arbitration shall take place in California, and the arbitrator's decision shall be final and binding.
Before initiating arbitration, you agree to provide us with written notice of your dispute at privacy@soqono.com at least 30 days in advance and to attempt to resolve the matter informally during that period.
If multiple individuals assert similar claims, you agree to coordinate such claims consistent with any applicable JAMS rules for coordinated arbitration. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that a claim was frivolous or brought for an improper purpose.
YOU AND SOQONO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in California.
These Terms constitute the entire agreement between you and Soqono regarding the subject matter hereof and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
